Terms of use for the Adder Website and Partner Portal by Adder Technology Limited.

These Terms of Use (“Terms”) govern access to and use of:
- www.adder.com (the “Website”), and
- the Adder Partner Portal (the “Portal”),
operated by Adder Technology Limited, a company registered in England and Wales (Company No. 01823478) whose registered office is:

References to “Adder”, “we”, “us” or “our” mean Adder Technology Limited.
1. IMPORTANT – BUSINESS USE ONLY
The Website and Portal are provided for business use only.
By accessing or using the Website or Portal, you confirm that you are acting in the course of a business and not as a consumer.
If you do not agree to these Terms, you must not access or use the Website or Portal.
2. DEFINITIONS
“Partner” means an entity authorised by Adder to access the Portal in connection with its commercial relationship with Adder.
“Content” means all information, data, materials, software, documentation, images, text, graphics and other materials made available through the Website or Portal.
“Partner Data” means any information submitted, uploaded or provided by a Partner to Adder via the Portal.
“Services” means access to and use of the Website and/or Portal.
3. ACCESS AND LICENCE
Subject to these Terms, Adder grants Partners a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Portal solely for:
- Managing their commercial relationship with Adder
- Accessing their own account information
- Conducting authorised business activities with Adder
This licence automatically terminates if:
- The Partner relationship ends; or
- These Terms are terminated.
Adder may suspend or terminate access at any time where:
- There is a breach of these Terms
- There is a security risk
- Required by law
- Continued access could harm Adder, its systems, or other users
4. ACCEPTABLE USE
You must not:
- Copy, reproduce, distribute or commercially exploit Content without written consent.
- Reverse engineer, decompile, disassemble or attempt to extract source code.
- Circumvent security features.
- Access data not intended for you.
- Use automated systems (including bots, scrapers, AI harvesting tools) without prior written permission.
- Introduce malware, viruses, or malicious code.
- Use the Services in breach of applicable laws.
- Interfere with the integrity, availability or performance of the Website or Portal.
Adder reserves the right to monitor usage for security and compliance purposes.
5. ACCOUNT SECURITY
Partners are responsible for:
- Maintaining confidentiality of login credentials
- All activity conducted under their account
- Ensuring authorised personnel only access the Portal
Sharing credentials is at your own risk.
You must notify Adder immediately of any unauthorised access.
6. PARTNER DATA
Partner is solely responsible for the accuracy and legality of Partner Data.
Partner Data must not:
- Infringe intellectual property rights
- Breach data protection laws
- Be defamatory, unlawful, or malicious
- Contain harmful code
Adder may remove or disable access to unlawful or non-compliant Partner Data.
7. DATA PROTECTION
Use of the Website and Portal is subject to the Adder Privacy Policy.
Where personal data is processed:
- Each party shall comply with the UK GDPR and Data Protection Act 2018.
- The parties acknowledge that, unless otherwise agreed in writing, each acts as an independent controller in respect of personal data processed through the Portal.
- Where Adder processes personal data on behalf of a Partner, the parties shall enter into a compliant data processing agreement.
8. INTELLECTUAL PROPERTY
All intellectual property rights in the Website, Portal and Content are owned by or licensed to Adder.
Nothing in these Terms grants any rights other than the limited licence expressly stated.
Unauthorised use may result in legal action.
9. THIRD-PARTY LINKS
The Website or Portal may contain links to third-party websites.
Adder:
- Does not control third-party websites
- Is not responsible for their content
- Does not endorse them
Accessing third-party sites is at your own risk.
10. DISCLAIMER
The Website, Portal and all Content are provided “AS IS” and “AS AVAILABLE.”
Adder does not warrant that:
- The Services will be uninterrupted or error-free
- Content is accurate, complete or current
- The Services are suitable for use outside the UK
11. LIMITATION OF LIABILITY
Nothing in these Terms limits or excludes liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability which cannot lawfully be excluded
Subject to the above:
- Adder shall not be liable for:
- Loss of profits
- Loss of revenue
- Loss of business
- Loss of data
- Indirect or consequential loss
- Adder’s total aggregate liability arising out of or in connection with the Services shall not exceed: £50,000 or the total fees paid by the Partner to Adder in the preceding 12 months (whichever is greater).
12. INDEMNITY
Partner shall indemnify and hold harmless Adder from any claims, losses, damages or liabilities arising from:
- Partner’s breach of these Terms
- Misuse of the Website or Portal
- Infringement caused by Partner Data
13. FORCE MAJEURE
Adder shall not be liable for failure or delay caused by events beyond its reasonable control, including but not limited to:
- Acts of God
- Cyberattacks
- Power failures
- Network outages
- Government actions
- Pandemics
14. CHANGES TO TERMS
Adder may update these Terms from time to time.
Where changes are material:
- At least 30 days’ notice will be provided via the Website or email (where appropriate).
Continued use after changes take effect constitutes acceptance.
15. SUSPENSION AND TERMINATION
Adder may suspend or terminate access immediately where:
- There is a breach of these Terms
- Required for security reasons
- Required by law
Clauses relating to liability, intellectual property, indemnity and governing law survive termination.
16. ASSIGNMENT
Partner may not assign or transfer its rights under these Terms without Adder’s prior written consent.
Adder may assign these Terms to an affiliate or in connection with a corporate restructuring.
17. WAIVER
Failure to enforce any provision shall not constitute a waiver of rights.
18. SEVERABILITY
If any provision is found invalid, the remainder shall continue in full force.
19. ENTIRE AGREEMENT
These Terms constitute the entire agreement relating to use of the Website and Portal and supersede all prior understandings relating to them.
20. GOVERNING LAW
These Terms are governed by the laws of England and Wales.
The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
